Welcome to Yarrani! By accessing and using our mobile application ("App"), you agree to be bound by the following terms and conditions. Please read them carefully. These terms and conditions govern your use of the App, and any services or features provided by Yarrani for advertising and marketing purposes in the healthcare coupons field. By using our App, you acknowledge and agree to comply with the laws of the United Arab Emirates , both as a merchant and as a customer. Yarrani will not be held responsible for any medical malpractice or any other issues arising from the services provided by merchants.
SERVICES: Yarrani is a platform that connects users ("Customers") with healthcare establishments ("Merchants") to provide discounted coupons for various healthcare services. Yarrani's services include, but are not limited to, listing and promoting merchants, facilitating the purchase and redemption of coupons, and handling the monthly reconciliation of merchant earnings.
MERCHANT-CUSTOMER RELATIONSHIP: Yarrani acts as an intermediary between Merchants and Customers. By offering their services through the App, Merchants enter into a direct contractual relationship with Customers who purchase their coupons. Yarrani is not a party to any transaction between Merchants and Customers, and we do not guarantee the quality, safety, or efficacy of the services provided by Merchants.
WHAT ARE ALL THE LEGAL RELATIONSHIPS: Any Items you purchase through the Yarrani platform will be subject to the terms and conditions of the respective Seller. As Yarrani International is usually not a Seller, your contract of sale will likely be with a different legal entity, Please note that any contracts formed upon the completion of a sale for Items are solely between you and the Seller (unless Yarrani is the Seller). The Seller is responsible for the sale and handling any claims or issues arising from the contract between you and the Seller. In the case of purchasing healthcare vouchers, in addition to the contract of sale with the Seller of the voucher, there will also be a contract between you and the healthcare establishment that provides the products or services when you redeem your voucher (the "Merchant"). Neither we nor any Seller assumes responsibility for any contracts regarding the redemption of your voucher with a Merchant. Furthermore, please understand that we are never the Seller's or Merchant's agent.
WHAT WE ALSO DO: We may provide a forum for you to submit or post user-generated content and may send newsletters and other communications to you. To send emails, we need to collect certain information about you. Please review our Privacy Policy for details on our data collection and processing practices.
SCOPE OF USE: The Yarrani platform and our services are intended for your personal, non-commercial use, unless otherwise permitted in writing. You may access the platform through our app, standard web and mobile browsers, and similar consumer applications, but not with any robot, spider, offline reader, App search/retrieval application, or other manual or automatic device, tool, or process to retrieve, index, or data mine our platform, including scraping, spidering, or any other means. However, operators of public search engines may, as an exception revocable at any time by us, use spiders to copy materials from the platform solely for the purpose of creating publicly available searchable indices of the materials, but not caches or archives of such materials.
MERCHANT OBLIGATIONS: Merchants agree to comply with all applicable laws and regulations, including those governing the provision of healthcare services in the United Arab Emirates . Merchants are solely responsible for the accuracy of the information provided about their services on the App. Yarrani reserves the right to review and approve the content and coupons submitted by Merchants before listing them on the App.
REGISTERING WITH US AND YOUR ACCOUNT: To access and utilize many of the features and services provided by Yarrani, you may need to register for an account. Registering is required to make a purchase unless you choose to use the guest checkout feature. If you make a purchase as a guest, an account will be created for you based on the information provided during the transaction. You can later claim this account by creating a password. Your account will provide convenient access to features such as printing vouchers, viewing past purchases, storing Yarrani credit, and modifying preferences. We reserve the right to decline a new registration or cancel an account at any time. Registering with us saves you from having to enter your information every time you make a purchase.
HOW TO REGISTER: To register, you must provide us with your name, postcode, email address, and potentially other personal information as required.
PASSWORDS: During registration, you will be prompted to create a password. It is your responsibility to keep your password confidential. Please notify us immediately if any unauthorized third party becomes aware of your password or if there is any unauthorized use of your email address or a breach of security that you are aware of. You agree that we are not liable for any unauthorized use or transaction carried out by a person who gains access to your password and/or uses our services and App. Please be aware that you are solely responsible for maintaining the confidentiality of your password.
VALID EMAIL ADDRESSES: All accounts must be registered with a valid personal email address that you regularly access. Any accounts registered with someone else's email address or temporary email addresses may be closed without notice. We may request users to re-validate their accounts if we believe they have been registered with an invalid email address.
EMAILS: Yarrani may send you administrative and promotional emails. These emails may include information about your account activity, purchases, updates about our platform and services, or other promotional offers. We may also send you information regarding your purchases. You have the option to unsubscribe from promotional emails at any time by clicking the unsubscribe link at the bottom of such email correspondence.
PUSH NOTIFICATIONS: With your consent, Yarrani may send you promotional push notifications on your mobile device(s) for general and location-based deals. You can opt-out of receiving promotional push notifications by adjusting the preferences on your mobile device.
CUSTOMER OBLIGATIONS: Customers agree to abide by the terms and conditions set by Merchants, including any specific requirements for coupon purchase and redemption. Customers acknowledge that once a coupon is purchased, it cannot be canceled or refunded. Yarrani does not guarantee the availability of specific services or appointments offered by Merchants and is not responsible for any dissatisfaction resulting from a coupon purchase.
PAYMENTS AND RECONCILIATION: Yarrani will handle the payment processing for coupon purchases made by Customers. Merchant earnings from the use of coupons will be reconciled on a monthly basis and paid out to Merchants. The reconciliation process will take place on the first day of each month. Merchants must ensure that their payment details are up to date to receive their earnings.
USER CONTENT: The App offers various opportunities for Account holders and visitors to submit or post user-generated content, including reviews, opinions, advice, ratings, discussions, comments, messages, survey responses, and other communications, as well as files, images, photographs, videos, sound recordings, musical works, and other content (referred to as "User Content"). User Content may be submitted or posted through forums, bulletin boards, discussion groups, chat rooms, surveys, blogs, or other communication facilities provided on, through, or in connection with the App or Services. Registration may be required to submit User Content.
CREATOR OF THE USER CONTENT: By contributing User Content, you represent and warrant that you are the creator of the User Content, or if you are acting on behalf of the creator, you have express advance authority from the creator to submit or post the User Content. Additionally, you represent and warrant that you have all the necessary rights to grant the licenses and permissions outlined in this Agreement for the User Content. You further represent and warrant (or have been assured by the creator) that sharing the User Content for the intended purposes will not violate or infringe upon any copyrights, trademarks, or other intellectual property rights or rights of third parties, including rights of publicity or privacy.
RESTRICTED CONTENT: You agree not to upload, post, or otherwise make available on the App any material that is protected by copyright, trademark, or other proprietary rights without the express permission of the respective owner. Yarrani is not obligated to provide you with any indications, markings, or assistance to determine whether material is copyrighted or trademarked. You are solely responsible for any damage resulting from any infringement of copyrights, trademarks, proprietary rights, or any other harm caused by such a submission. Please refer to Section 5 for additional restrictions and prohibited activities.
USE OF USER CONTENT: Yarrani retains the sole and absolute right, but not the obligation, to review, edit, post, refuse to post, remove, and monitor User Content. Yarrani also has the right, but not the obligation, to disclose User Content and the circumstances surrounding its transmission to third parties, at any time and for any reason, including to ensure compliance with this Agreement, operating rules established by Yarrani, or to satisfy any applicable law, regulation, or authorized government request. Yarrani may, at its sole and absolute discretion, remove any material from the App. Yarrani assumes no liability for any User Content or other information that appears or is removed from the App or elsewhere. Yarrani is not obligated to use your User Content and may choose not to use it at all.
MODIFYING OR REMOVING USER CONTENT: In certain circumstances and at specific times, you may have the option to modify or remove the User Content you submit or post through your Account. Yarrani does not guarantee that modified or removed User Content will be deleted from the App or elsewhere, or that it will cease to appear on the Internet, search engines, social media webApps, or any other form, media, or technology.
PUBLIC NATURE OF USER CONTENT: You acknowledge and agree that User Content is public and may be read by any person, regardless of whether they are a user of Yarrani's Services. Please avoid including any personal information or sensitive details in your User Content unless you intend for it to be publicly disclosed. Yarrani is not responsible for the use or disclosure of any personal information or other information that you disclose in connection with User Content.
DISCLAIMER: User Content, whether posted by you or any third party, is the responsibility of the respective author(s) or distributor(s), not Yarrani. Other users may post inaccurate, misleading, or deceptive User Content. Yarrani does not endorse and is not responsible for any User Content, and will not be liable for any loss or damage caused by your reliance on such User Content. User Content reflects the opinions of the individuals submitting it and does not reflect the opinion of Yarrani. Yarrani does not control or endorse any User Content and specifically disclaims any liability related to your contribution, use, or reliance on any User Content or any actions resulting from your participation in any part of the App or Services, including objectionable User Content.
GRANT: Some User Content you submit to Yarrani may be displayed or offer the option to display your personal information, such as your name, initials, username, social networking webApp user account name, image, likeness, preferences, voice, and location. You grant Yarrani a royalty-free, perpetual, irrevocable, sublicensable, fully paid-up, non-exclusive, transferrable, worldwide right to use, display, distribute, offer for sale, and sell the personal information in connection with your User Content. This includes whether the User Content appears alone or as part of other works, and in any form, media, or technology, known or later developed. Yarrani may sublicense these rights through multiple tiers of sublicensees without providing compensation to you. However, Yarrani is not obligated to use your personal information in connection with any User Content.
LICENSE: You retain all ownership rights to the User Content you submit or post, subject to the licenses and permissions granted to Yarrani by contributing User Content or other information on or through the App, you grant Yarrani a royalty-free, perpetual, irrevocable, sublicensable, fully paid-up, non-exclusive, transferrable, worldwide right and license to use, reproduce, create derivative works from, publish, edit, translate, distribute, perform, display, transmit, offer for sale, and sell the User Content alone or as part of other works. This right and license apply in any form, media, or technology, known or hereafter developed, and may be sublicensed through multiple tiers of sublicensees without providing compensation to you. You waive any moral rights or other rights related to attribution of authorship or integrity of materials regarding the User Content under any applicable law or legal theory. Yarrani's license includes use for promotions, advertising, marketing, market research, merchant feedback, quality control, or any other lawful purpose.
LIMITATION OF LIABILITY: Yarrani always strives to perform its obligations with reasonable care, skill, and professional diligence. We promise to exercise reasonable care and skill in fulfilling our obligations under this Agreement, and to meet the requirements of professional diligence in our operations. Section 24 of this Agreement takes precedence over all other sections and encompasses our entire liability regarding the performance, non-performance, alleged performance, or delayed performance of this Agreement, the Services, the Yarrani App, or any purchase (or any part thereof). However, our liability is not excluded or limited for fraud, death or personal injury caused by our negligence, serious misconduct committed by us (excluding misconduct not conducted by Yarrani itself), or any liability that cannot be excluded or limited by applicable law. Nonetheless, as we provide the Yarrani App and Services for your non-business use, we are not liable for certain categories of loss, including loss of income or revenue, loss of actual or anticipated profits, loss of business, or indirect or consequential loss (which refers to losses of an indirect or consequential nature, whether foreseeable, known, foreseen, or otherwise).
RESTRICTIONS ON USE:
You agree to abide by the following restrictions when using the Yarrani App or Services:
You will not use the Yarrani App or Services for any unlawful, fraudulent, or unauthorized purposes.
You will not interfere with or disrupt the functioning of the Yarrani App or Services, or any servers or networks connected to the Yarrani App or Services.
You will not attempt to gain unauthorized access to any portion of the Yarrani App or Services, or any other systems or networks connected to the Yarrani App or Services.
You will not use any automated means or software to access or scrape data from the Yarrani App or Services, without prior written permission.
You will not use the Yarrani App or Services to transmit any viruses, worms, or malicious code.
You will not impersonate any person or entity or falsely claim an affiliation with any person or entity when using the Yarrani App or Services.
You will not post, upload, or transmit any User Content that is defamatory, obscene, offensive, or infringes upon the rights of others.
INTELLECTUAL PROPERTY:
All intellectual property rights in the Yarrani App, Services, and any content provided therein (excluding User Content) are owned by Yarrani or its licensors.
You acknowledge that the Yarrani name, logo, and other trademarks, service marks, graphics, and logos used in connection with the Yarrani App and Services are the trademarks or registered trademarks of Yarrani or its licensors.
You are granted a limited, non-exclusive, non-transferable license to use the Yarrani App and Services solely for your personal, non-commercial use.
You agree not to copy, modify, distribute, sell, lease, or create derivative works based on the Yarrani App or Services, in whole or in part, unless expressly authorized by Yarrani in writing.
You will not remove, alter, or obscure any copyright, trademark, or other proprietary rights notices incorporated in or accompanying the Yarrani App or Services.
Any feedback, suggestions, or ideas provided by you regarding the Yarrani App or Services may be used by Yarrani without any obligation to compensate you, and you hereby grant Yarrani a worldwide, perpetual, irrevocable, royalty-free license to use, modify, publish, distribute, and sublicense such feedback, suggestions, or ideas.
PRIVACY POLICY: Yarrani respects your privacy and handles your personal information in accordance with our Privacy Policy. By using the App, you consent to the collection, use, and disclosure of your personal information as described in the Privacy Policy.
MODIFICATION AND TERMINATION: Yarrani reserves the right to modify or terminate the App or any of its services at any time, without prior notice. We may also update these terms and conditions from time to time. Continued use of the App after any modifications to the terms and conditions constitutes acceptance of the updated terms.
GOVERNING LAW AND JURISDICTION: These terms and conditions shall be governed by and construed in accordance with the laws of the United Arab Emirates . Any dispute arising out of or in connection with these terms shall be subject to the exclusive jurisdiction of the courts of the United Arab Emirates .
By using the Yarrani App, you acknowledge that you have read, understood, and agreed to these terms and conditions. If you do not agree with any part of these terms, please refrain from using the App.
